Liquidation of legal person results in cessation of its activity without transfer of rights and duties to other persons.

The latest changes in legislation have considerably simplified the procedure of liquidation of the companies. From the 1^st February 2009 " the principle of Рѕne window» applies to the procedure of liquidation.

According to legislation the registration authority must take a decision about liquidation of the company in 35 working days (approximetely 1,5 months) after the moment when this registration authority informed competent authorities and organisations about the beginning of the procedure of liquidation of the company irrespective of control carried out by these authorities and organizations.

In practice a lot of different cicumstances have an influence Рѕn the duration of the period of liquidation of companies.

The minimum term is stipulated by the legislation for claims of the creditors. This term should not be less than 2 months from the moment of announcement about the liquidation of the company.

If the company has debts before budget, legal persons or individual entrepreneurs (credit debts), the liquidation of the company is impossible till the moment of full clearing off the debts.

If the company is going to recover debts from its debtors, the term of procedure of liquidation becomes longer on the period of claims and suit procedures.

Moreover, in practice liquidators (or founders) have to apply to competent authorities and organisations for timely fulfillment of necessary procedures and receipt of necessary documents.

As a result the term of liquidation of companies exceeds the terms stipulated by the legislation.
