Setting up a company in Belarus

Founders of a legal entity in the Republic of Belarus can be both physical and legal foreign entities.

The business legal structure of the enterprise established by you will depend on the quantity of founders. If there is one founder, the enterprise will be a unitary one (Private Company, Private Enterprise). If there are two and more founders, it can be a Limited Liability Company or a Closed Joint-Stock Company.

The size of the authorized capital of the enterprise with foreign investments is not specifically stipulated by the legislation. Thus it is required, that the contribution of a non-resident (non-residents) makes not less than 20 000 USD.

The non-residents of founders of the legal entity established in Belarus will be required to provide the following documents and information:

A) From the founder — the legal entity:

1. The original of the extract from the Trade Register which shall confirm the status of your company (if after the state registration of the company it is supposed to obtain licenses — in addition under one original of the extract from the Uniform Register for each license), and be legalized (for example from Turkey — with apostil);

2. Notarized power of attorney (the sample is provided by us), legalized (for example, from Turkey — with apostil);

3. Variants of names of the legal entity which is being established;

4. Kinds of activity of the legal entity which is being established (in free statement);

5. The founder’s phone number (with indication of the country code);

6. Passport copy of the Director of the company which is being established, his mobile and home phone numbers (with indication of the code);

7. The size of the authorized capital of the company which is being established and the size of the share of each founder.

B) From the founder — the physical person:

1. Passport copy (notarized and legalized copy, in the case if the founder can’t come in Belarus);

2. Notarized power of attorney (the sample is provided by us);

3. Variants of names of the legal entity which is being established;

4. Kinds of activity of the legal entity which is being established (in free statement);

5. The founder’s phone number (with indication of the code);

6. Passport copy of the Director of the company which is being established, his mobile and home phone numbers (with indication of the code);

7. The size of the authorized capital of the company which is being established and the size of the share of each founder.

Further it will be necessary to find an office (our company can help with this) for accommodation of the legal entity which is being established and to obtain from the Lessor the Letter of Guarantee (the document confirming location of the legal entity at a certain address).

All works related to support of the registration of the legal entity which is being established (consultations, preparation of documents, representation in state bodies) will be carried out by the lawyers of «Legal group «VERDICT BY» LLC.

The period of the registration of the legal entity on «turn-key basis» today in Belarus makes 1,5 weeks from the moment of providing to us all necessary documents and information, and 3 working days in «urgent manner» — (without taking into account the time required for translation of the documents from foreign language).

4. We render assistance at registering bodies, other state bodies during submission and reception of documents, and if the power of attorney is available, we carry out representation and reception of documents;

5. We order a seal of a legal entity (according to the sketch chosen by you) and obtain it; as we have been cooperating with an engraving workshop for a long time, all our clients get a discount and the seal is made in high-priority manner;

6. We draw up the documents related to employment of the Chief Accountant of the legal entity (orders, contracts, applications, letters to the state bodies, etc.);

7. We provide the required data about the Director and the Chief Accountant of the legal entity to the state bodies;

8. We assist in opening the accounts of the legal entity in one of banks of the Republic of Belarus, we notify the tax authorities about opening the accounts of the legal entity;

9. We assist in hiring of up to 5 employees (prepare all the required contracts, local documents etc.);

10. We assist in registering of up to 3 trademarks in Belarus;

11. We give legal advices on general issues of doing business in Belarus (up to 2 hours).
